These Terms of Service ("Terms") govern your use of the Neumetrics platform operated by Neumetrics ("we," "our," or "us"). By accessing or using our service at neumetrics.ai and app.neumetrics.ai, you agree to be bound by these Terms.
1. Service Description
Neumetrics is a marketing analytics platform for Shopify merchants. We aggregate data from your connected platforms (including Shopify, Meta Ads, Google Ads, TikTok Ads, Google Analytics, and Klaviyo) into a unified dashboard with AI-powered insights.
2. Account and Access
To use Neumetrics, you must connect a valid Shopify store. You are responsible for maintaining the security of your account and any connected platform credentials. You must not share access to your dashboard with unauthorized individuals.
You represent that you have the authority to connect any third-party platform accounts and grant us the necessary permissions to access the data.
3. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract the source code of our service
- Interfere with or disrupt the service or its infrastructure
- Exceed reasonable usage limits or abuse API rate limits
- Share, resell, or redistribute data obtained through the service without authorization
- Use the AI features (Ask Aren) to generate harmful, misleading, or fraudulent content
4. Data and Privacy
Your use of Neumetrics is also governed by our Privacy Policy. You retain ownership of all data from your connected platforms. We access and process this data solely to provide the Neumetrics service to you.
5. AI-Powered Features
Neumetrics uses third-party artificial intelligence and retrieval services, including providers such as Anthropic Claude, Google Gemini, and Pinecone, to generate marketing insights, briefings, creative analyses, and answers to your questions. While we strive for accuracy, AI-generated content is provided for informational purposes and should not be considered professional financial or legal advice. You should independently verify any AI-generated recommendations before acting on them.
6. Third-Party Integrations
Neumetrics integrates with third-party platforms including Shopify, Meta, Google, TikTok, and Klaviyo. We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of these platforms is subject to their respective terms and conditions.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.
8. Pricing and Payment
Neumetrics offers a 14-day free trial. Pricing details for paid plans are available on our website. We reserve the right to modify pricing with 30 days' notice. You may cancel your subscription at any time.
9. Intellectual Property
The Neumetrics platform, including its design, features, and AI capabilities, is our intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the service for your business purposes during your subscription.
10. Limitation of Liability
To the maximum extent permitted by law, Neumetrics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities, arising from your use of the service.
Our total liability for any claim arising from or related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Neumetrics from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate this agreement at any time. Upon termination, we will delete your data in accordance with our Privacy Policy. We reserve the right to suspend or terminate accounts that violate these Terms.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page. Continued use of the service after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Neumetrics operates, without regard to conflict of law principles.
